Welcome to Pathfinder CRM. These Terms of Service (“Terms”) govern your access to and use of the Pathfinder CRM platform and related services (collectively, the “Services”) provided by Storm Chaser Corp (“Company,” “we,” “us,” or “our”), a for-profit corporation registered in the state of Texas.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Acceptance of Terms

By creating an account, accessing our website, or using any of our Services, you confirm that:

  • You are at least 18 years of age
  • You have the legal authority to enter into this agreement
  • You will comply with all applicable laws and regulations
  • All information you provide is accurate and complete

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

Pathfinder CRM is an AI-powered sales automation and customer relationship management platform designed for businesses engaged in international trade. Our Services include, but are not limited to:

  • AI-powered lead discovery and qualification
  • Automated sales workflows and follow-ups
  • Multi-channel communication management (email, WhatsApp, SMS)
  • Predictive analytics and customer intelligence
  • CRM database and contact management
  • Integration with third-party tools and platforms

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any such modifications or discontinuation.

3. Account Registration and Security

3.1 Account Creation

To use our Services, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You agree to:

  • Use a strong, unique password for your account
  • Notify us immediately of any unauthorized access or security breach
  • Not share your account credentials with anyone else
  • Be responsible for all activities under your account

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Subscription Plans and Pricing

4.1 Free Trial

We offer a 14-day free trial with full access to all features. No credit card is required to start the trial. At the end of the trial period, you must select a paid plan and provide payment information to continue using the Services. We will not automatically charge you without your explicit consent.

4.2 Paid Subscriptions

We offer the following subscription plans:

  • Starter Plan: $29 per month - Includes up to 50 leads/month, AI lead discovery, basic automation, and email integration
  • Professional Plan: $99 per month - Includes up to 500 leads/month, advanced AI features, custom automation, multi-channel integration, and priority support
  • Enterprise Plan: Custom pricing - Includes unlimited leads, enterprise AI models, custom integrations, dedicated account manager, and SLA guarantee

All prices are in USD and are subject to applicable taxes. We reserve the right to change pricing with 30 days advance notice.

4.3 Billing and Payment

  • Subscriptions are billed monthly in advance on the date you subscribe
  • Payment is processed securely through our third-party payment processor, Stripe
  • You authorize us to charge your payment method automatically for each billing cycle
  • If payment fails, we will attempt to notify you and may suspend your account until payment is received

5. Cancellation and Refunds

5.1 Cancellation

You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation:

  • Your access will continue until the end of the current billing period
  • You will not be charged for subsequent billing cycles
  • Your data will be retained for 30 days after cancellation, after which it will be permanently deleted

5.2 Refund Policy

  • Monthly Subscriptions: We do not offer refunds for monthly subscriptions. You may cancel at any time to avoid future charges.
  • Annual Subscriptions: If you cancel an annual subscription within 30 days of the initial purchase, you may request a pro-rated refund for unused months.
  • Exceptional Circumstances: Refund requests due to extenuating circumstances will be reviewed on a case-by-case basis.

6. User Data and Intellectual Property

6.1 Your Data

You retain all ownership rights to the data, content, and information you upload, input, or generate through the Services (“User Data”). By using our Services, you grant us a limited, non-exclusive license to:

  • Process and store your User Data to provide the Services
  • Use aggregated, anonymized data to improve our AI models and Services
  • Back up your User Data for disaster recovery purposes

We will not sell, share, or use your User Data for any purpose beyond providing the Services, except as required by law or with your explicit consent.

6.2 Our Intellectual Property

The Services, including the software, algorithms, user interface, branding, and all related intellectual property, are owned by Storm Chaser Corp and are protected by copyright, trademark, and other laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Services in accordance with these Terms.

6.3 AI-Generated Insights

Insights, recommendations, and analytics generated by our AI using your User Data belong to you. However, the underlying algorithms, models, and methodologies used to generate these insights remain our intellectual property.

7. Prohibited Uses

You agree not to use the Services to:

  • Violate any applicable laws, regulations, or third-party rights
  • Send spam, unsolicited communications, or engage in fraudulent activities
  • Upload malware, viruses, or any malicious code
  • Attempt to reverse engineer, decompile, or hack the Services
  • Interfere with the operation or security of the Services
  • Use the Services to harass, abuse, or harm others
  • Scrape, copy, or extract data from the Services using automated means without permission
  • Resell, sublicense, or distribute the Services without our written consent

Violation of these prohibitions may result in immediate termination of your account and legal action.

8. Service Level Agreement (SLA)

8.1 Uptime Guarantee

For Enterprise Plan customers, we guarantee 99.5% uptime (excluding scheduled maintenance). If we fail to meet this guarantee, you may be eligible for service credits as outlined in your Enterprise Agreement.

8.2 No Warranty for Other Plans

For Starter and Professional plans, the Services are provided on an “as is” and “as available” basis. We strive for high availability but do not guarantee uninterrupted access.

8.3 Maintenance

We may perform scheduled maintenance from time to time. We will provide advance notice whenever possible and will minimize disruption to your use of the Services.

9. Third-Party Services and Integrations

Our Services may integrate with or link to third-party services, applications, or websites (e.g., WhatsApp, email providers, payment processors). We are not responsible for:

  • The availability, content, or functionality of third-party services
  • Any data collected by third parties through integrations
  • The privacy practices of third-party services

Your use of third-party services is subject to their respective terms and policies. We encourage you to review them carefully.

10. Limitation of Liability

To the maximum extent permitted by law, Storm Chaser Corp, its officers, directors, employees, and affiliates shall not be liable for:

  • Any indirect, incidental, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions, errors, or security breaches
  • Actions or inactions of third-party service providers

Our total liability to you for any claims arising from or related to the Services shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Storm Chaser Corp and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorney fees) arising from:

  • Your use or misuse of the Services
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your User Data or any content you submit through the Services
  • Any claims by third parties related to your actions

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles.

12.2 Dispute Resolution

Any disputes arising from or related to these Terms or the Services shall be resolved through:

  • Informal Negotiation: We encourage you to contact us first to resolve disputes informally
  • Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Dallas County, Texas
  • Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits

12.3 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or prevent imminent harm.

13. Changes to Terms

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. When we make material changes, we will:

  • Post the updated Terms on this page with a new “Last Updated” date
  • Notify you via email or through a prominent notice in the Services
  • Provide you with at least 30 days’ notice before the changes take effect (for material changes)

Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services and cancel your account.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements, constitute the entire agreement between you and Storm Chaser Corp regarding the Services.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.3 No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
